Terms of Service

1. Acceptance of Terms

By accessing or using Zorvi ("the Service"), operated by Zorvi Inc. ("Zorvi", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you agree to these Terms on its behalf and represent that you have authority to do so. If you do not agree, do not use the Service.

2. Your License to Use the Service

Subject to these Terms and your active subscription, Zorvi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service to create, manage, and publish content for your own or your clients’ business purposes. Zorvi and its licensors retain all rights, title, and interest in the Service, including all software, models, and underlying technology.You may not:

resell, sublicense, rent, or provide the Service itself to third parties except as expressly permitted in your plan;
reverse engineer, decompile, or attempt to extract the source code or models of the Service, except where such restriction is prohibited by law;
circumvent usage limits, security controls, or access the Service by any means other than the interfaces we provide;
remove or obscure any proprietary notices;
use the Service to build a competing product or to train competing AI models.

3. Your Content and Ownership

You retain ownership of the content you upload to, or create with, the Service ("Your Content"). You grant Zorvi a worldwide, non-exclusive license to host, store, process, transmit, and — at your direction — publish Your Content to your connected accounts, solely to provide the Service.You are responsible for ensuring you hold all rights necessary for Your Content and its use, and that Your Content and its publication comply with applicable laws and third-party rights.

4. Acceptable Use of AI Features

The Service uses third-party AI providers to generate text, images, audio, video, and avatar/voice content. You agree to use these features responsibly. You may not use the Service to:

create content that impersonates a real person or entity in a misleading or deceptive way;
generate synthetic audio, video, or avatar likeness of any person without that person’s consent and all rights required to do so;
produce unlawful, deceptive, infringing, defamatory, or harmful content, including election or medical misinformation;
violate the acceptable-use or platform policies of any connected service or AI provider.

AI output can be inaccurate or incomplete. You are responsible for reviewing and approving all AI-generated content before it is used or published.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate account information and keep it current.

6. Subscriptions, Billing, and Refunds

Paid features are provided on a subscription basis. Fees, billing frequency, and plan limits are shown at purchase. Payments are processed by our third-party payment provider; we do not store full card details.

Auto-renewal: subscriptions renew automatically for the same term unless cancelled before the renewal date.
Cancellation: you may cancel at any time from your account; access continues until the end of the current paid period. Cancellation stops the next renewal and does not provide a prorated refund for the unused portion of the current period.
Refunds: fees already paid are non-refundable except where required by law; cancelling stops future renewals but does not refund the current period.
Taxes: fees are exclusive of taxes unless stated; you are responsible for applicable taxes.
Failed payment: we may suspend or downgrade paid features if a payment fails.

7. Third-Party and Connected Services

The Service lets you connect third-party accounts (for example social networks, blogging/CMS platforms, design tools, and email mailboxes) and uses third-party AI and infrastructure providers. Your use of connected services is governed by their own terms and privacy policies, and you are responsible for complying with them. We are not responsible for third-party services and may change or remove integrations.

8. Prohibited Uses

In addition to the AI rules above, you may not use Zorvi:

for any unlawful purpose or to solicit unlawful acts;
to violate any applicable laws, regulations, or third-party rights;
to infringe intellectual property or misappropriate confidential information;
to harass, abuse, defame, threaten, or discriminate;
to transmit malware, spam, or to send communications in violation of anti-spam laws;
to submit false or misleading information, or to interfere with the Service’s operation or security.

9. Intellectual Property and Copyright Complaints

The Service, including its software, design, and trademarks, is owned by Zorvi and protected by law. If you believe content on or published through the Service infringes your copyright, contact us at social@zorvi.ai with enough detail to identify the copyrighted work, the allegedly infringing content, and your contact information. We will review and respond appropriately, which may include removing the content.

10. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Service at any time. We aim to give notice of material changes but are not liable for any modification, suspension, or discontinuance, subject to your rights under applicable law and any service commitments in your plan.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service or AI-generated output will be accurate, error-free, or uninterrupted.

12. Limitation of Liability

To the fullest extent permitted by law, Zorvi and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of data, profits, or business, arising from your use of or inability to use the Service. In all cases, Zorvi’s total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid to Zorvi for the Service in the twelve (12) months preceding the event giving rise to the claim.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for breach of these Terms or misuse of the Service. On termination, your license ends; you may request export or deletion of Your Content as described in our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You and Zorvi agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
